Terms & Conditions

These Terms and Conditions (“Agreement”) govern the provision of signwriting services by Naked Signs to the client (“you”). By accepting a quote, placing an order, or utilizing our services, you agree to the following terms.

 

  1. Services Provided

The Company offers custom signwriting services, including but not limited to, designing, manufacturing, and installing signs, banners, vehicle wraps, window graphics, and other related products.

 

  1. Quotations and Pricing

All quotes provided by the Company are based on the details provided by the Client and are subject to change if any requirements, quantities, or specifications change.

All prices are in (£) sterling and are exclusive of applicable taxes, installation fees, or any other costs not explicitly mentioned in the quotation.

A deposit may be required upon confirmation of the order, and the balance is due upon completion of the project unless otherwise agreed upon.

 

  1. Payment Terms

Deposits: A deposit of ?% of the total project cost is required before work commences, unless otherwise agreed in writing.

Final Payment: The remaining balance is due upon completion of the work, before delivery or installation of the signage.

Late Payments: If the final payment is not received within [30] days of the due date, the Company reserves the right to charge a late fee of ?% per month on the outstanding balance.

Payment Methods: Payments can be made by bank transfer, credit card, or other methods agreed upon.

 

  1. Design and Approval Process

Client Approval: All designs must be approved by the Client before any work begins. The Company will provide the Client with digital proofs or mock-ups of the design for approval.

Revisions: The Client is allowed 2 rounds of revisions. Additional revisions will be subject to an extra charge, as outlined in the initial quotation.

Responsibility for Accuracy: The Client is responsible for ensuring that the design, content, and any logos or trademarks provided for the signage are accurate and legally usable.

 

  1. Installation

Installation Timing: The Company will provide an estimated installation date, but this may be subject to changes based on availability, weather conditions, or other factors.

 

Client’s Responsibility: The Client must ensure that the site for installation is ready and accessible, and that the installation area meets the necessary safety standards. For all work being carried out on vehicles, the client shall ensure they have been cleaned ready for graphics to be applied.

Additional Costs: Any additional costs arising from delays or complications during installation, such as site preparation or special equipment needs, will be billed to the Client.

 

  1. Cancellation and Refunds

Cancellation by Client: The Client may cancel an order before work has commenced. In such cases, the deposit is non-refundable. If the work has already started, the Client will be responsible for paying for the work completed up to the point of cancellation.

Cancellation by the Company: The Company reserves the right to cancel any order for any reason, in which case any payments made by the Client will be refunded in full.

 

  1. Intellectual Property

Ownership: Upon full payment, the Client will own the final design of the signage, including rights to use it for the intended purpose. However, the Company retains the right to use any designs for promotional purposes unless explicitly prohibited by the Client.

Licensing: The Client is responsible for ensuring that any content or design provided (e.g., logos, trademarks, images) is not infringing on any third-party intellectual property rights.

 

  1. Warranties and Limitations of Liability

Quality Guarantee: The Company guarantees that all materials used in the production of signage will be of a high standard and fit for the intended purpose.

Warranty Period: The Company offers a warranty of 12 months on materials and workmanship. This warranty does not cover damage resulting from misuse, weather conditions, or improper maintenance.

Limitation of Liability: In no event shall the Company be liable for any indirect, incidental, or consequential damages, including but not limited to lost profits or business interruption, arising out of or in connection with the Services provided.

 

  1. Force Majeure

The Company shall not be liable for any failure to perform its obligations if such failure is caused by circumstances beyond its control, including but not limited to, acts of God, government regulations, strikes, or natural disasters.

 

  1. Indemnity

The Client agrees to indemnify and hold harmless the Company against any claims, damages, or losses arising from the use of the signage, including but not limited to claims of infringement on intellectual property rights, personal injury, or property damage.

 

  1. Confidentiality

The Company agrees to maintain the confidentiality of any confidential information provided by the Client during the course of providing the Services. The Company will not disclose such information to third parties unless required by law or with the Client’s written consent.

 

  1. Amendments

These Terms and Conditions may be amended or updated by the Company at any time. Any changes will be communicated to the Client, and continued use of the Company’s Services after such changes constitute acceptance of the updated terms.

 

  1. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of UK government. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in England.

 

14. Vehicle Graphics Terms

If your vehicle is being sign written by Naked Signs Limited, please can you ensure the following requests are adhered to, to ensure the best installation for your vehicle.We will provide an estimated installation date, but this may be subject to changes based on availability, weather conditions, or other factors.

Client’s Responsibility:

On day of installation, if your vehicle is being worked on at our premises, it will need to be on our site promptly, either on or before agreed time. Any late arrivals cannot be guaranteed to be completed within the allotted time.All vehicle are expected to arrive in a clean and workable condition but not polished.

Any extra site preparation that is needed to be undertaken by us will result in additional cost being added to the original agreement.

Naked Signs Limited cannot be held responsible for any damage caused to the vehicle paintwork, should we be required to remove any badges or graphics to complete our work.

 

15. Pull Up Banners

All pull up banners from Naked Signs Ltd will be be provided in a good, working condition.

To maintain these banners and reduce the risk of damage we advise that careful packing and unpacking of the banners be taken by our customers. To decrease the risk of damaging the springs within the cassette, slowly roll the banners down when packing away.

Naked Signs Ltd cannot be held responsible for any damage caused to the banners once it is in your possession, including damage made to the banner cassette and to the banner itself. Any repairs or remakes that need to be undertaken (should a banner be damaged outside of our possession) will be chargeable.
